We value businesses and companies in the following circumstances:
- corporate finance transactions, advising buyers and sellers;
- shareholder disputes, involving possible actions under Section 994, Companies Act 2006;
- in divorce cases, normally on the basis of being a jointly-appointed expert, instructed by the Court;
- for fiscal purposes, in connection with probate values and values on transfer.
There is no substitute for the practical experience of being involved in corporate finance transactions, in which the values of different companies are negotiated, in transactions which lead on to a completed sale.
Valuation work also requires high level technical knowledge:
- discounted cash flow techniques, including the calculation of the terminal value;
- the risk-free rate of return and the equity risk premium;
- the Capital Asset Pricing Model;
- the concepts of the Beta and the Alpha;
- the dividend growth model.
Although the technical valuation tools are an essential component, there is no substitute for the experience that comes from actual corporate finance transactions.
