Barenbrug UK acquisition of Watson Seeds

Watson Seeds was founded in 1990 by third-generation seedsman Johnny Watson and is based in East Lothian. It also comprises Seed Logistics and GroGreen and enjoys a loyal customer following with its Castle range of seed mixtures.

Barenbrug UK is part of the Royal Barenbrug Group, a worldwide grass seed business based in Holland, which was established in the UK in 1983. It supplies more than 4,000 tonnes of grass seed each year for UK amenity and agriculture sectors. They have previously worked with Scrutton Bland’s Business Advisory team, and approached our Corporate Finance team some months ago as they were keen to grow their distribution operations across the UK.

Bollfilter

Over the years Managing Director John Dow and Finance Director Veronica Brown, operating as Geedon Ltd, built up Bollfilter UK Ltd to become an exceptionally well-managed and successful business. Geedon Limited owned 75% of the issued share capital in Bollfilter UK Limited and the remaining 25% was owned by Boll & Kirch Filterbau GmbH (based in Germany). In early 2019, after having devoted years to establishing the Bollfilter brand, John and Veronica decided to exit the business and look to retirement.

One of the core objectives for both Veronica and John was ensuring succession and continuity of both the business and the Bollfilter brand that they had spent so many years developing. The Corporate Finance team at Scrutton Bland were able to help the pair draw up a robust business plan enabling the sale to proceed to German partner Boll & Kirch Filterbau GmbH which gave the existing UK management team the continuity of a buyer who was already known to them, whilst at the same time meeting John and Veronica’s own personal financial goals.

Despite rescuing over a thousand horses, ponies and donkeys, the charity receives no government funding but relies solely upon donations from the public in the form of memberships, open days, special fundraising events, grant funding and legacies. The aim of the organisation is not to offer retirement care for equines, but to find suitable foster homes for the animals, whether they go out as rideable horses or as a companion to the foster carer’s own horse. The work of the charity means that they place rehabilitated horses and ponies in foster homes all over the country and regularly check on the animals using a team of Fostering Monitors.
